Done! Groupon Closes Out Nearly Billion-Dollar Round

Groupon has finished raising its nearly $1 billion round of financing, after weeks of noisy speculation.

Coming after its non-marriage-to-Google soap opera, let’s hope it can now go back to running a social-buying business.

The daily-deals site that snubbed Google’s $6 billion takeover offer said it will use the funds to fuel global expansion, invest in technology and provide liquidity for employees and early investors.

With this much cash on the table, there’s a huge consortium of investors participating in what is a second tranche of recent funding.

Those investors include: Andreessen Horowitz, Battery Ventures, Greylock Partners, Kleiner Perkins Caufield & Byers, Mail.ru Group, Maverick Capital, Silver Lake and Technology Crossover Ventures.

Allen & Company LLC acted as financial adviser.

Groupon’s previous investors included: New Enterprise Associates, Accel Partners, and Mail.ru Group (formerly DST Global).

For the past few weeks, the news has been dribbling out. First, it was rumored that Groupon was looking for the extraordinary sum of $1 billion.

Then it was confirmed that nearly half the round had been raised–with much of it going to buy out current shareholders (presumably to make them happy after turning away Google’s mega buyout offer).

Those investors included: T. Rowe Price, Fidelity, Capital Group and Morgan Stanley.

And now this financing is all over, making it a very extraordinarily large round of private equity completed in a very short period of time.

Groupon will most likely have enough funds for its most aggressive expansion plans.

But the question now is whether this will keep it happy as an independent company, leading to an IPO, or will spur other offers of acquisition at even higher valuations?

Let’s not forget that Groupon continues to compete head-on with Amazon-backed LivingSocial, which recently garnered a much smaller cash infusion of about $180 million.

Here’s Groupon’s official press release with a hipster goofy headline–let’s hope the company’s future performance isn’t as silly:

Groupon Raises, Like, A Billion Dollars

Investment to Continue Rapid Growth of Global Social Commerce Platform

CHICAGO–Today Groupon announced that it has completed a $950 million round of financing. Groupon will use the funds to fuel global expansion, invest in technology, and provide liquidity for employees and early investors.

The financing consists of several venture capital firms and late-stage investors, including Andreessen Horowitz, Battery Ventures, Greylock Partners, Kleiner Perkins Caufield & Byers, Mail.ru Group, Maverick Capital, Silver Lake, and Technology Crossover Ventures. Allen & Company LLC acted as financial advisor. Previous funding rounds were led by New Enterprise Associates, Accel Partners, and Mail.ru Group (formerly DST.)

In the last year, Groupon has been called “the fastest growing company ever” by Forbes Magazine and “America’s best website” by one of Groupon’s television commercials. In 2010, Groupon:

• Expanded from 1 to 35 countries

• Launched in almost 500 new markets (from 30 markets in 2009)

• Grew subscribers by 2,500% from 2 million to over 50 million

• Saved consumers over $1.5 billion

• Worked with 58,000 local businesses, serving over 100,000 deals worldwide

“We’re thrilled that Groupon has earned the confidence of some of the world’s most respected investment firms,” said Andrew Mason, founder and CEO of Groupon. “With their support, we will continue on our mission to change the way people shop locally and serve the world’s local businesses.”

Rebtel With a Cause: Free Calling on the BlackBerry

Mobile Internet telephony firm Rebtel said on Friday that it is bringing its free international calling service to the BlackBerry. The service, which allows free international calls among more than 50 countries by routing the calls over the Internet, has been available for Android since last March. Rebtel also said it plans to add the free calling feature to the iPhone this spring.

“We are committed to bringing innovation into the oligopolistic marketplace to make international calls either free or super-cheap for our customers,” Rebtel CEO Andreas Bernstrom said in a statement. Rebtel’s app automatically notices when an international call is being made and routes the call over its VoIP service, as opposed to making a cellphone call.

Verizon iPhone to Debut With Unlimited Data Plan

When the iPhone finally arrives on Verizon’s network, how will the carrier set it apart from the one that’s been offered by AT&T since it first debuted in 2007?

Here’s one way: By offering it with a wireless service plan free of the data caps used by AT&T.

Sources close to Verizon tell me the carrier will offer the iPhone with an unlimited data plan (presumably the same $30 unlimited plan it offers for other smartphones)–though they wouldn’t say for how long. That should distinguish it a bit more from the iPhone on AT&T, which requires a capped plan for data service.

Not that such differences worry AT&T any. “We think customers will prefer AT&T’s faster speeds and better functionality over a CDMA network device,” a spokesperson told me. And he has a point. AT&T’s UMTS network allows the use of data and voice simultaneously. Verizon’s CMDA network doesn’t–at least not yet. So, initially, Verizon iPhone users won’t be able to use the Web or check email while on a call–something AT&T iPhone users have long been able to do.

All Things D reported Friday that the special event Verizon is holding in New York Tuesday will be the carrier’s long-rumored iPhone announcement.

Comcast Bringing Live TV to Your iPad (In Your House)

Here’s a logical, and cool, marriage between your iPad and your TV, brokered by Comcast: The cable company says it will let subscribers stream live TV to their tablets later this year.

The catch here is that the capability, which will be offered on Apple’s iPad as well as tablets running Google’s Android, will only work inside subscribers’ homes.

So you still can’t watch a live episode of “Two and a Half Men” on your iPad in the airport, but you will be able to watch it in your kitchen, while your better half watches “Frontline” in the living room. Or whatever.

It’s worth noting that Verizon announced its own version of this feature (with the same limitations), for its FiOS TV subscribers last summer, but has yet to roll it out.

Comcast will be demoing the feature later today at a Citigroup investors conference, but won’t be providing details about timing, or if there will be any programming restrictions on what you can watch on your tablet.

It’s possible there could be some holdouts, but the cable giant ought to be able to offer just about everything, since there’s no issue with carriage rights or ad loads, etc.–tablet watchers will be watching whatever’s already on live TV.

The killer feature, of course, would be the ability to do this on-the-go, but we’re not there yet, and it may take awhile to get there. Mobile rights for video–especially live video–are a whole different ball game.

Meantime, though, Comcast is offering a half-step–as previously promised, it will let traveling iPad users start to watch a selection of on-demand content, via its Xfinity TV app.

Comcast says it will offer some 3,000 TV shows and movies that iPad users can watch on-demand, over any network–AT&T’s 3G, or Time Warner Cable’s broadband, or whatever. Once that feature is up and running, which should be shortly, we’ll be able to compare that catalog to the ones that Netflix and Hulu Plus are offering for $7.99 a month.

And that’s the big picture here: Comcast and the other big cable providers, which continue to insist that cord-cutting isn’t real, want to make sure that it doesn’t become a reality, by offering their subscribers access to as much stuff, in as many places, as they can. It’s going to take years to find out whether that works or not, but best to start experimenting ASAP.
